Terms & Conditions

These Terms & Conditions ("Terms") govern the use of Knowd Digital, our micro services, subscriptions, and related products offered by Knowd Digital Ltd ("we", "our", or "us"). By purchasing a micro service, subscribing to a retainer, or using our client dashboard you agree to these Terms. If you are entering into this agreement on behalf of an organisation, you confirm that you have authority to bind that organisation.

1. Services

We deliver three primary service models:

  • Micro services: fixed-scope deliverables described on https://knowd.nz/micro-services.
  • Micro retainers: subscription plans that provide a set volume of support each billing period.
  • Bespoke engagements: custom projects scoped separately and governed by a statement of work.

Details, inclusions, and turnaround times for each service are outlined on the relevant product pages and/or statement of work.

2. Ordering & Onboarding

  • All purchases are made online through our checkout or via an invoice issued by our team.
  • You must provide accurate billing information and maintain an active account with a verified email address.
  • Project work begins once we confirm payment (for micro services) or active subscription status (for retainers).
  • We may decline or pause work if requested deliverables violate our Acceptable Use section or require capabilities outside the agreed scope.

3. Pricing, Payment & Taxes

  • All prices are listed in New Zealand Dollars (NZD) and exclude GST. 15% GST is applied automatically at Stripe checkout or on invoices.
  • Micro services are billed upfront. Retainer subscriptions are billed in advance on a recurring monthly basis via Stripe.
  • You authorise Stripe to charge your saved payment method for recurring retainers until you cancel. Cancel before the next billing date to avoid renewal.
  • Invoices issued outside Stripe are payable within the timeframe stated on the invoice. Late payments may pause work or incur interest in accordance with New Zealand law.

4. Refunds & Delivery Commitments

  • Micro service purchases and retainer fees are non-refundable once we have commenced work, because production capacity is allocated immediately.
  • If we fail to deliver a purchased micro service or retainer commitment for reasons within our control, we will either remedy the issue or refund the relevant fee in full.
  • Refund requests must be submitted in writing to hello@knowd.nz.

5. Client Responsibilities

  • Provide timely access to content, logins, and direction required to complete your project.
  • Review and approve deliverables in staging environments before production launch. We do not publish changes without your approval.
  • Ensure any materials you provide do not infringe third-party rights and comply with applicable laws.
  • Give feedback within the agreed timeframe so we can meet delivery schedules. Delays in feedback may push back completion dates.

6. Feedback & Revision Windows

Each micro service includes at least one structured feedback round, as documented on the service page. Retainer plans include ongoing feedback loops aligned with your subscription tier. Additional rounds or scope changes may incur extra charges, which we will quote and confirm with you before proceeding.

7. Intellectual Property

  • You own the final deliverables once all fees have been paid in full.
  • We retain ownership of pre-existing materials, internal tooling, frameworks, and know-how used to deliver the project.
  • We may reference completed work in our portfolio unless your agreement explicitly prohibits case studies.

8. Acceptable Use

You agree not to request or deploy work that:

  • Violates any laws or regulations, including intellectual property and privacy rights.
  • Promotes violence, hate speech, or deceptive practices.
  • Introduces security risks, malware, or malicious code into your environment or ours.

We may refuse or terminate engagements that breach this clause.

9. Confidentiality

We treat all non-public information shared with us as confidential and only use it to deliver the services. Each party agrees to keep the other’s confidential information secure and not disclose it to third parties except as required to perform the services or comply with law.

10. Warranties & Disclaimers

  • We warrant that our services will be provided with reasonable skill and care.
  • Except as expressly stated, we provide all services "as is" without additional warranties of any kind.
  • You are responsible for ensuring any deliverables comply with industry-specific regulations applicable to your business.

11. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability under these Terms (whether in contract, tort, or otherwise) is limited to the total amount paid by you for the service giving rise to the claim during the ninety (90) days preceding the event. We are not liable for indirect, consequential, or special damages, including lost profits or business interruption.

12. Term & Termination

  • These Terms apply for as long as you maintain an account, purchase micro services, or hold an active subscription.
  • Either party may terminate a retainer subscription by providing notice before the next billing cycle. Work completed to date remains payable.
  • We may suspend or terminate services for material breach, unlawful use, or non-payment. Where practicable we will provide notice outlining the issue.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will notify active clients via email or dashboard notification. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms and any related disputes are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts. If any provision is found unenforceable, the remaining provisions remain in full force.
